ELEXBIG Seller Policy & Code of Conduct

Operator: ELEXBIG (“ELEXBIG”, “we”, “us”, “our”)

 

1. Application and Acceptance

1.1

By registering as an ELEXBIG Vendor, creating a vendor account, listing products, accepting orders, or using any ELEXBIG seller tools or services, you agree to comply with this Seller Policy & Code of Conduct, ELEXBIG's Terms and Conditions, Privacy Policy, Returns & Refunds Policy, Prohibited Items Policy, Delivery Guidelines, Packaging Guidelines, Authentic Items Policy, and any other applicable ELEXBIG policies or feature-specific terms.

1.2

If you act on behalf of a company, business, organisation, partnership, or other entity, you confirm that you are authorised to represent that entity and that the entity agrees to be bound by these terms.

1.3

If you do not agree to this Seller Policy & Code of Conduct, you must not use ELEXBIG to sell products.

1.4

ELEXBIG may require vendors to complete verification before they can list products, receive orders, or receive payouts.

 

2. ELEXBIG's Role in the Marketplace

2.1

ELEXBIG operates as an online marketplace that connects independent third-party Vendors with customers across Nigeria.

2.2

Vendors remain responsible for the products they list, including the accuracy of product information, authenticity, legality, quality, condition, availability, packaging, fulfilment, warranties, and after-sales obligations.

2.3

ELEXBIG provides marketplace infrastructure and services, which may include:

  • Online product listings and storefronts
  • Vendor account and dashboard tools
  • Order management
  • Payment collection and processing
  • Customer support coordination
  • Delivery coordination and tracking tools
  • Dispute and complaint handling
  • Marketplace marketing and promotional activities
  • Vendor analytics and sales information
  • Other tools and services introduced by ELEXBIG from time to time

2.4

Vendors are responsible for ensuring that all products offered through ELEXBIG are lawful, safe, authentic, accurately described, and compliant with applicable Nigerian laws and regulatory requirements.

2.5

ELEXBIG may coordinate customer communications concerning enquiries, complaints, returns, refunds, disputes, and order issues. Vendors must cooperate promptly and honestly whenever ELEXBIG requests information or action.

2.6

ELEXBIG is an online marketplace. Vendors must fulfil orders for delivery to the customer's provided delivery address in accordance with ELEXBIG's delivery requirements. ELEXBIG does not operate as a customer pickup or click-and-collect marketplace unless ELEXBIG expressly introduces such a service.

 

3. Changes to This Policy and Services

3.1

ELEXBIG may update this Seller Policy from time to time to reflect changes in its services, marketplace operations, applicable laws, regulations, technology, security requirements, or business practices.

3.2

Unless a different effective date is stated, policy changes become effective when published on the ELEXBIG website or communicated through an appropriate ELEXBIG channel.

3.3

Where reasonably practicable, ELEXBIG will provide notice of material changes through email, vendor-dashboard notifications, website notices, or other appropriate communication channels.

3.4

Continued use of ELEXBIG seller services after a policy update constitutes acceptance of the updated policy, subject to any rights available to the Vendor under applicable law.

 

4. Seller Eligibility and Account Requirements

4.1

You must be legally entitled to sell the products you list on ELEXBIG and must comply with applicable Nigerian laws, regulations, licences, permits, registrations, standards, and regulatory requirements applicable to your business and products.

4.2

Vendors must provide accurate, current, and complete information requested by ELEXBIG, which may include:

  • Full name or registered business name
  • Valid telephone number
  • Email address
  • Business address or operating address where applicable
  • CAC registration information where applicable
  • Bank account or payout information
  • Identification or verification information where reasonably required
  • Product sourcing or supplier information where required
  • Licences, permits, certificates, or regulatory documents where applicable

4.3

You must not create or operate multiple ELEXBIG vendor accounts for the purpose of circumventing ELEXBIG policies, sanctions, fees, restrictions, or performance requirements.

4.4

You are responsible for protecting your ELEXBIG login credentials and account information.

4.5

You must immediately notify ELEXBIG if you suspect that your account has been compromised or accessed without authorisation.

4.6

ELEXBIG may verify your identity, business information, product information, ownership, supplier documentation, or eligibility at any time.

4.7

ELEXBIG may request additional information or documents where necessary to verify a Vendor, investigate an order, confirm authenticity, comply with applicable law, prevent fraud, or protect customers and the marketplace.

 

5. Seller Code of Conduct

5.1

All Vendors must act honestly, fairly, professionally, and lawfully and must contribute to a safe and trustworthy marketplace.

5.2

Vendors must:

  • Provide accurate and truthful information in their account, listings, policies, and communications.
  • Keep product information and stock availability up to date.
  • Clearly disclose product condition, including whether an item is new, used, UK-used, refurbished, open-box, repaired, or otherwise previously owned.
  • Sell only genuine and lawfully sourced products.
  • Comply with applicable consumer-protection, privacy, product-safety, intellectual-property, tax, and regulatory requirements.
  • Honour the prices, specifications, condition, warranties, delivery information, and other commitments stated in listings.
  • Package products appropriately for delivery.
  • Respond promptly to customer and ELEXBIG communications.
  • Cooperate with ELEXBIG investigations, complaints, disputes, returns, and refund processes.
  • Treat customers and ELEXBIG staff respectfully and professionally.

5.3

Vendors must not:

  • Manipulate search rankings, traffic, sales figures, or marketplace algorithms.
  • Create fake orders or transactions.
  • Artificially inflate sales, ratings, or reviews.
  • Buy, sell, solicit, or manipulate reviews.
  • Submit reviews for their own products or competitors' products.
  • Sell counterfeit, stolen, fraudulent, unsafe, recalled, prohibited, or unlawfully sourced products.
  • Misuse customer personal information.
  • Use ELEXBIG customer information for unrelated marketing or solicitation.
  • Circumvent ELEXBIG's payment or commission system.
  • Mislead customers regarding product condition, specifications, authenticity, warranty, availability, price, origin, or performance.
  • Engage in deceptive or exploitative pricing.
  • Interfere with another Vendor's account, reputation, listings, or business.
  • Attempt to evade a suspension, restriction, sanction, or termination by creating another account.
  • Provide false documents or information during verification.

 

6. Legal and Regulatory Compliance

6.1

Vendors must comply with all applicable laws and regulations of the Federal Republic of Nigeria and, where applicable, the laws of relevant Nigerian states and local authorities.

These may include, where applicable:

  • The Federal Competition and Consumer Protection Act, 2018 (FCCPA).
  • The Nigeria Data Protection Act, 2023 (NDPA).
  • Applicable Standards Organisation of Nigeria (SON) requirements and Nigerian Industrial Standards.
  • Applicable NAFDAC requirements for regulated products.
  • Applicable intellectual-property laws.
  • Applicable tax laws and regulations.
  • Applicable business-registration and corporate requirements.
  • Applicable laws concerning electronic transactions, advertising, consumer rights, product safety, and unfair commercial practices.
  • Any other applicable federal, state, or local regulatory requirements.

The FCCPA establishes the Federal Competition and Consumer Protection Commission and provides the principal statutory framework for consumer protection and competition in Nigeria.

6.2

Vendors selling imported products are responsible for ensuring that the products were lawfully imported and comply with applicable Nigerian import, customs, standards, certification, labelling, and regulatory requirements.

SON operates conformity-assessment and certification programmes for relevant products, including MANCAP for applicable locally manufactured products and SONCAP for applicable regulated imported products.

6.3

Where a product is subject to mandatory certification, registration, approval, labelling, authentication, or other regulatory requirements, the Vendor must obtain and maintain the applicable documentation before listing or selling the product.

6.4

Vendors must provide evidence of compliance when requested by ELEXBIG.

6.5

A Vendor is solely responsible for determining whether its products require licences, permits, registrations, certifications, approvals, or other regulatory documentation.

 

7. Product Listings and Standards

7.1

All product listings must be accurate, complete, current, and not misleading.

7.2

Products must be listed in the correct category and the product condition must be clearly stated.

7.3

For used, UK-used, refurbished, repaired, open-box, or previously owned electronics, Vendors must provide an honest description of the product's condition and disclose material defects, repairs, battery condition where relevant, missing accessories, cosmetic defects, or other information that could reasonably affect a customer's purchasing decision.

7.4

Product images must accurately represent the product being sold. Vendors must not intentionally use images that materially misrepresent the actual item.

7.5

Vendors must have the right to use all images, logos, trademarks, descriptions, videos, and other intellectual-property content uploaded to ELEXBIG.

7.6

Prices must be displayed clearly in Nigerian Naira (₦), and any additional mandatory charges must be disclosed clearly before purchase.

7.7

Vendors must not list:

  • Counterfeit products
  • Stolen products
  • Fraudulently obtained products
  • Unsafe products
  • Recalled products
  • Products prohibited by Nigerian law
  • Products prohibited by ELEXBIG
  • Products that infringe intellectual-property rights
  • Products for which the Vendor cannot establish lawful sourcing where ELEXBIG reasonably requests evidence
  • Products subject to applicable regulatory requirements that have not been satisfied

7.8

If a product becomes unavailable or can no longer be supplied as described, the Vendor must immediately update the stock status or remove the listing.

7.9

Descriptions must contain material information relevant to the customer's purchasing decision, including, where applicable:

  • Brand
  • Model
  • Storage capacity
  • Colour
  • Condition
  • Size or dimensions
  • Technical specifications
  • Included accessories
  • Warranty
  • Product limitations
  • Compatibility
  • Country of origin where required or relevant
  • Authenticity information
  • Relevant certifications or approvals

 

8. Pricing and Promotional Practices

8.1

All prices must be clearly displayed in Nigerian Naira (₦).

8.2

Vendors must ensure that prices and promotional claims are truthful and not misleading.

8.3

A Vendor must not increase the price of a product after a customer has placed an order merely because the Vendor wishes to obtain a higher price.

8.4

Vendors must not use false "before" prices, fake discounts, misleading sale claims, or fabricated price comparisons.

8.5

Where a Vendor advertises a discount, bundle, free item, price match, clearance sale, or other promotion, the Vendor must honour the stated terms.

8.6

ELEXBIG may operate platform-wide marketing campaigns, promotional codes, discounts, sponsored placements, or other customer-acquisition campaigns. The applicable commercial terms of each campaign will be communicated or made available to participating Vendors.

8.7

Vendors must not use ELEXBIG promotions in a misleading manner or represent an ELEXBIG promotional campaign as their own independent offer where that representation is inaccurate.

 

9. Order Fulfilment and Shipping

9.1

Vendors are responsible for:

  • Preparing orders promptly.
  • Packaging products securely.
  • Protecting products from damage during transportation.
  • Dispatching orders within the stated handling timeframe.
  • Providing accurate shipment information.
  • Providing tracking information where available and required.
  • Using reliable delivery providers.
  • Ensuring the correct product and quantity are shipped.
  • Updating order/shipment information through the ELEXBIG vendor dashboard as required.

9.2

Delivery estimates must be realistic and achievable.

9.3

Vendors must not intentionally accept orders they know they cannot fulfil.

9.4

Inventory must be accurate and regularly updated to minimise overselling and cancellations.

9.5

If an unexpected delay occurs, the Vendor must promptly notify ELEXBIG and provide any information required to assist the customer.

9.6

Vendors must comply with applicable Nigerian laws and carrier requirements concerning restricted, hazardous, fragile, electronic, battery-powered, or otherwise regulated goods.

9.7

Where ELEXBIG requires shipment information, Vendors must provide the requested information through the appropriate ELEXBIG vendor tools.

9.8

A Vendor may not falsely mark an order as shipped or delivered.

 

10. Returns, Refunds, and Consumer Protection

10.1

ELEXBIG coordinates customer-service processes relating to returns, refunds, complaints, and disputes. Vendors must cooperate fully and promptly.

10.2

Customers may be entitled to appropriate remedies where a product is defective, materially different from its description, unsafe, counterfeit, damaged due to inadequate packaging, or otherwise fails to meet applicable consumer-protection requirements or ELEXBIG's applicable policies.

10.3

Where ELEXBIG determines that a return or refund is required under applicable law or ELEXBIG policy, the Vendor must cooperate within the timeframe communicated by ELEXBIG.

10.4

A Vendor must not unfairly refuse a legitimate return or refund.

10.5

Where a problem results from the Vendor's conduct, including:

  • Wrong product shipped
  • Materially inaccurate description
  • Counterfeit or unauthorised product
  • Defective product
  • Inadequate packaging
  • Missing advertised accessories
  • Product materially different from the listing

the Vendor may be responsible for the associated return, replacement, refund, delivery, or other reasonable costs, subject to applicable law and ELEXBIG's policies.

10.6

Vendors must not instruct customers to bypass ELEXBIG's dispute or refund process in order to avoid their marketplace obligations.

10.7

Nothing in this policy removes or limits any mandatory consumer rights available under Nigerian law.

 

11. Customer Information and Privacy

11.1

Customer personal information made available to a Vendor through ELEXBIG may only be used for legitimate marketplace purposes, including order fulfilment, delivery coordination, returns, warranty support, and other purposes expressly authorised by ELEXBIG or permitted by applicable law.

11.2

Vendors must not:

  • Sell customer information.
  • Share customer information with unauthorised third parties.
  • Use customer information for unrelated advertising or marketing.
  • Add customers to personal WhatsApp, SMS, email, or marketing lists without an appropriate lawful basis and required consent.
  • Contact customers for unrelated business purposes.
  • Use customer information to circumvent ELEXBIG.
  • Collect more customer information than is reasonably necessary.

11.3

Vendors must protect customer information using appropriate security measures.

11.4

Where customer information is no longer required for a legitimate purpose, the Vendor must securely delete or anonymise it unless retention is required or permitted by applicable law.

11.5

Vendors must comply with the Nigeria Data Protection Act, 2023 and applicable data-protection requirements.

11.6

Any suspected data breach, accidental disclosure, unauthorised access, or misuse of ELEXBIG customer information must be reported to ELEXBIG promptly.

 

12. Reviews, Ratings, and Feedback

12.1

Vendors must not manipulate, distort, or interfere with customer reviews or ratings.

12.2

Vendors must not:

  • Pay or reward customers for positive reviews.
  • Offer refunds or discounts in exchange for positive reviews.
  • Ask customers to remove legitimate negative reviews.
  • Submit reviews for their own products.
  • Submit reviews for competitors' products.
  • Create fake customer accounts to generate reviews.
  • Threaten or intimidate customers because of negative feedback.
  • Selectively solicit only positive reviews in a misleading manner.

12.3

Vendors may encourage customers to leave honest feedback through ELEXBIG-approved channels.

12.4

ELEXBIG may remove reviews or ratings that violate applicable policies and may take enforcement action where review manipulation is identified.

12.5

Only authorised ELEXBIG personnel may respond to customer reviews on behalf of ELEXBIG where ELEXBIG's platform rules designate such responsibility.

 

13. Performance Standards and Metrics

13.1

ELEXBIG may monitor Vendor performance using metrics such as:

  • Order fulfilment rate
  • On-time dispatch rate
  • Cancellation rate
  • Order defect rate
  • Return rate
  • Refund rate
  • Customer complaints
  • Customer response time
  • Product authenticity
  • Listing accuracy
  • Stock accuracy
  • Customer ratings
  • Delivery performance

13.2

ELEXBIG may provide Vendors with performance information and recommendations for improvement.

13.3

Consistently poor performance may result in:

  • Warning notices
  • Temporary restrictions
  • Product-listing restrictions
  • Reduced marketplace visibility
  • Suspension of certain seller privileges
  • Payout holds where reasonably necessary
  • Account suspension
  • Account termination

13.4

Serious violations may result in immediate enforcement action without a prior warning.

13.5

Vendors who consistently maintain high standards may become eligible for promotional opportunities, enhanced visibility, featured placements, or other benefits at ELEXBIG's discretion.

 

14. Fees, Commission, Subscriptions, and Payouts

14.1

ELEXBIG may charge Vendors subscription fees, sales commissions, promotional fees, advertising fees, payment-related charges, delivery-related charges, or other applicable fees as disclosed in the Vendor's applicable plan or ELEXBIG's published fee schedule.

14.2

Where a Vendor subscribes to an ELEXBIG plan, the Vendor will be charged according to the plan selected and the terms displayed at the time of subscription.

14.3

ELEXBIG's available Vendor plans and applicable commission rates may include different product limits, featured-product benefits, store-promotion benefits, and commission rates.

14.4

The applicable commission for a transaction is the rate applicable to the Vendor's plan and the transaction at the relevant time, as displayed or otherwise communicated by ELEXBIG.

14.5

Applicable commissions and other authorised fees may be deducted from Vendor earnings before payout.

14.6

ELEXBIG may establish a payout clearance period to account for delivery confirmation, returns, refunds, chargebacks, disputes, fraud checks, or other legitimate marketplace risks.

14.7

The available payout balance and applicable payout schedule may be displayed in the Vendor dashboard.

14.8

ELEXBIG may temporarily hold or delay funds where reasonably necessary due to:

  • Suspected fraud
  • Chargeback risk
  • Customer disputes
  • Pending refunds
  • Unfulfilled orders
  • Policy violations
  • Authenticity investigations
  • Regulatory concerns
  • Account-security concerns
  • Unresolved financial obligations

14.9

Vendors must not attempt to bypass ELEXBIG fees or commissions by requesting that customers pay them directly outside the ELEXBIG payment process for an ELEXBIG order.

14.10

Attempting to divert ELEXBIG transactions away from the platform may result in suspension or termination.

14.11

ELEXBIG may change its fees, subscription plans, commissions, or commercial terms where reasonably necessary. Where required by applicable law or an applicable contractual commitment, ELEXBIG will provide the required notice.

14.12

A Vendor's continued use of ELEXBIG after a fee or plan change takes effect constitutes acceptance of the updated commercial terms, subject to any mandatory rights available under applicable law.

 

15. API Access and Programmatic Data Handling

15.1

Where ELEXBIG provides APIs, integrations, webhooks, feeds, or other programmatic tools, their use is subject to ELEXBIG's applicable technical documentation and terms.

15.2

API keys, access tokens, passwords, webhook secrets, and similar credentials are confidential.

15.3

Vendors must not:

  • Share API credentials with unauthorised persons.
  • Use API access to obtain customer information for unauthorised purposes.
  • Scrape or extract ELEXBIG data outside permitted functionality.
  • Attempt to circumvent technical restrictions or rate limits.
  • Interfere with ELEXBIG's systems.
  • Use APIs to conduct fraudulent activity.

15.4

Customer information obtained through APIs or webhooks may only be used for authorised marketplace purposes.

15.5

ELEXBIG may suspend or revoke API access where security, performance, abuse, or policy concerns arise.

15.6

Unless a separate service-level agreement states otherwise, APIs and webhooks are provided on a reasonable-efforts basis and may be modified, suspended, or discontinued.


16. Intellectual Property Rights

16.1

Vendors must respect copyrights, trademarks, patents, designs, trade names, logos, and other intellectual-property rights.

16.2

Vendors must not list or sell products that infringe the intellectual-property rights of another person or organisation.

16.3

By uploading product listings, images, descriptions, videos, logos, and other content to ELEXBIG, the Vendor grants ELEXBIG a non-exclusive, royalty-free licence to host, reproduce, display, adapt where technically necessary, distribute, and use that content for operating, promoting, marketing, and improving the ELEXBIG marketplace.

16.4

The Vendor represents that it has the necessary rights or permissions to use content uploaded to ELEXBIG.

16.5

If ELEXBIG receives a credible intellectual-property complaint, ELEXBIG may remove, restrict, or suspend the relevant listing while investigating.

16.6

Repeated or serious intellectual-property violations may result in account suspension or termination.

16.7

Where a Vendor's products, content, branding, or actions cause a third-party intellectual-property claim against ELEXBIG, the Vendor may be responsible for resulting losses, costs, claims, or expenses to the extent permitted by applicable law.

 

17. Tax Obligations and Record-Keeping

17.1

Vendors are responsible for understanding and complying with their applicable Nigerian tax obligations.

17.2

Depending on the Vendor's circumstances, obligations may include applicable income tax, company tax, VAT, withholding tax, electronic invoicing or reporting obligations, and other taxes or statutory requirements.

17.3

Nigeria's tax framework was revised through the 2025 Tax Acts, with the Nigeria Tax Act, 2025 taking effect from 1 January 2026. Vendors remain responsible for determining their own applicable obligations.

17.4

Vendors must maintain accurate records of sales, expenses, invoices, refunds, payouts, and other relevant business transactions as required by applicable law.

17.5

ELEXBIG may provide transaction reports or payout information to assist Vendors with their records, but such information does not constitute tax advice.

17.6

Each Vendor is responsible for obtaining professional tax advice where necessary and for filing and paying applicable taxes.

 

18. Security and Data Integrity

18.1

Vendors must ensure that files, product data, integrations, links, images, and other materials submitted to ELEXBIG do not intentionally contain malware, malicious code, viruses, or other harmful content.

18.2

Vendors must not attempt to gain unauthorised access to:

  • ELEXBIG systems
  • Databases
  • Vendor accounts
  • Customer accounts
  • Payment systems
  • Administrative tools
  • Another Vendor's information
  • Any restricted ELEXBIG infrastructure

18.3

Unauthorised access attempts may result in immediate account suspension or termination and may be reported to appropriate authorities where necessary.

18.4

Vendors are responsible for implementing reasonable security measures to protect their accounts.

 

19. Insurance and Risk Management

19.1

Vendors are encouraged to obtain appropriate insurance for their businesses and products where appropriate.

Depending on the nature of the Vendor's activities, this may include:

  • Product liability insurance
  • Public liability insurance
  • Professional indemnity insurance
  • Business interruption insurance
  • Other appropriate commercial insurance

19.2

Insurance does not remove a Vendor's legal obligations to customers or ELEXBIG.

19.3

ELEXBIG may request evidence of insurance, licences, certification, or other risk-management documentation for certain high-risk products or businesses where reasonably necessary.

19.4

Certain products or categories may be subject to additional requirements because of their safety, regulatory, financial, or operational risk.

 

20. Enforcement, Suspension, and Termination

20.1

ELEXBIG may investigate suspected breaches of this policy, its Terms and Conditions, or other marketplace policies.

20.2

During an investigation, ELEXBIG may request:

  • Purchase invoices
  • Supplier information
  • Receipts
  • Product photographs
  • Serial numbers
  • IMEI information where relevant
  • Warranty documentation
  • Certification documents
  • Importation documents
  • Proof of authenticity
  • Other evidence reasonably required to verify compliance

20.3

ELEXBIG may restrict, suspend, or terminate a Vendor account where:

  • The Vendor breaches this policy.
  • The Vendor violates applicable law.
  • The Vendor provides false or misleading information.
  • The Vendor sells counterfeit or unsafe products.
  • The Vendor commits fraud.
  • The Vendor repeatedly fails to fulfil orders.
  • The Vendor refuses to cooperate with legitimate investigations.
  • The Vendor misuses customer information.
  • The Vendor attempts to circumvent ELEXBIG's payment or commission system.
  • The Vendor creates a legal, financial, security, consumer-safety, or reputational risk for ELEXBIG or its customers.

20.4

Serious misconduct, including fraud, deliberate deception, counterfeit sales, stolen goods, serious product-safety violations, data misuse, or unauthorised system access, may result in immediate suspension or termination.

20.5

Upon suspension or termination, the Vendor must:

  • Fulfil outstanding orders where instructed.
  • Cooperate with pending returns and refunds.
  • Resolve outstanding customer issues.
  • Pay outstanding fees or obligations.
  • Stop representing itself as an active ELEXBIG Vendor.
  • Stop using ELEXBIG branding except where ELEXBIG expressly permits continued use.

20.6

A Vendor may appeal a suspension or termination by contacting:

The Vendor should provide the relevant account information, explanation, and supporting evidence.

 

21. Vendor Insolvency

21.1

If a Vendor becomes insolvent, enters liquidation, administration, receivership, bankruptcy proceedings, or another similar process, the Vendor must notify ELEXBIG promptly.

21.2

ELEXBIG may take reasonable steps to protect customers whose orders have not been fulfilled or whose refunds or returns remain outstanding.

21.3

Where permitted by law, ELEXBIG may apply or hold funds to address legitimate customer refunds, chargebacks, disputes, or outstanding marketplace obligations before releasing any remaining balance.

21.4

ELEXBIG may cooperate with relevant insolvency practitioners, courts, regulators, or other lawful authorities where required.

21.5

This section does not create rights beyond those available under applicable Nigerian law.

 

22. Indemnification and Limitation of Liability

22.1

To the extent permitted by applicable law, Vendors are responsible for claims, losses, liabilities, damages, costs, and reasonable expenses arising from:

  • Products listed or sold by the Vendor.
  • The Vendor's breach of this policy.
  • The Vendor's breach of ELEXBIG's Terms and Conditions.
  • Violation of applicable law.
  • Product-safety violations.
  • Intellectual-property infringement.
  • Misrepresentation of products.
  • Fraudulent or unlawful conduct.
  • Misuse of customer information.
  • The Vendor's actions or omissions.

22.2

Nothing in this policy excludes or limits liability that cannot legally be excluded or limited under applicable Nigerian law.

22.3

ELEXBIG will not be responsible for losses caused by information, representations, products, or services supplied by a Vendor, except to the extent that ELEXBIG is legally responsible for the relevant loss.

22.4

Any limitation of liability applicable to ELEXBIG is subject to mandatory rights and protections under applicable Nigerian law.


23. Governing Law and Dispute Resolution

23.1

This Seller Policy & Code of Conduct is governed by the laws applicable in the Federal Republic of Nigeria, subject to applicable federal and state jurisdictional requirements.

23.2

Before commencing formal legal proceedings, the Vendor should first contact ELEXBIG at:

support@elexbig.com

and provide reasonable details of the dispute.

23.3

ELEXBIG and the Vendor will make reasonable efforts to resolve disputes in good faith before escalating the matter to formal proceedings, unless urgent action or applicable law requires otherwise.

23.4

Where appropriate, the parties may consider negotiation, mediation, arbitration, or another alternative dispute-resolution mechanism before litigation.

23.5

Nothing in this section prevents a party from seeking urgent legal or equitable relief where necessary to prevent immediate harm or protect its rights.

23.6

Nothing in this policy removes any mandatory rights a consumer or Vendor may have under applicable Nigerian law.

 

24. Account Closure and Withdrawal

24.1

A Vendor may request closure of its ELEXBIG Vendor account by contacting:

support@elexbig.com

24.2

Before an account is fully closed, the Vendor may be required to:

  • Complete or resolve outstanding orders.
  • Process pending returns and refunds.
  • Resolve outstanding customer complaints.
  • Pay outstanding fees or charges.
  • Resolve disputes.
  • Provide information required for legitimate legal, financial, tax, or compliance purposes.

24.3

Any final payout will be processed in accordance with ELEXBIG's applicable payout procedures after outstanding obligations have been addressed.

24.4

Closing a Vendor account does not remove obligations relating to products previously sold, including applicable warranty, refund, return, product-safety, authenticity, intellectual-property, tax, or legal obligations.

24.5

ELEXBIG may retain certain transaction, financial, account, and compliance records for as long as reasonably necessary or as required or permitted by applicable law.
