ELEXBIG VENDOR TERMS OF USE

Effective Date: May 15, 2026

Welcome to ELEXBIG. These Vendor Terms of Use ("Terms") govern your access to and use of the ELEXBIG Marketplace as a seller, merchant, supplier, or vendor. By registering for a Vendor account, listing products, accepting orders, or otherwise using the ELEXBIG Marketplace, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as all related ELEXBIG policies, guidelines, and procedures.

If you do not agree to these Terms, you may not use the Marketplace as a Vendor.


1. Vendor Eligibility

To sell on ELEXBIG, Vendors must:

  • Be at least 18 years of age.
  • Provide accurate and complete registration information.
  • Maintain valid contact information.
  • Provide any identification, business registration, banking, tax, or verification documents requested by ELEXBIG.
  • Comply with applicable laws and regulations.

ELEXBIG reserves the right to approve, reject, suspend, restrict, or terminate any Vendor account at its sole discretion.


2. Vendor Account Responsibility

Vendors are responsible for:

  • Maintaining accurate account information.
  • Protecting account credentials.
  • Restricting unauthorized access to their account.
  • Updating information when changes occur.

Vendors are responsible for all activities conducted through their accounts.


3. Product Authenticity and Quality

Vendors may only list genuine, legal, safe, and quality products.

Strictly prohibited:

  • Counterfeit or fake products
  • Stolen products
  • Defective or damaged products
  • Illegal or restricted items
  • Unauthorized devices
  • Products violating intellectual property rights
  • Misrepresented products

Vendors are solely responsible for the authenticity, quality, safety, legality, and compliance of all products sold.


4. Product Listings

All listings must contain:

  • Accurate product titles
  • Clear product images
  • Product specifications
  • Honest descriptions
  • Correct pricing
  • Accurate inventory information

ELEXBIG reserves the right to review, modify, reject, disable, suspend, or remove any listing that violates marketplace standards.


5. Content and Image Standards

Vendors must ensure that all content:

  • Accurately represents the product
  • Is lawful and non-misleading
  • Does not infringe intellectual property rights
  • Does not contain offensive or prohibited content

Images must:

  • Clearly depict the product
  • Match the product description
  • Not contain misleading information
  • Not include unauthorized trademarks, URLs, or promotional claims

6. Order Processing and Dispatch

Vendors must:

  • Confirm orders promptly
  • Maintain accurate inventory levels
  • Process orders within required timelines
  • Dispatch orders within 24–48 hours unless otherwise approved

Vendors must provide shipment confirmation, tracking information, and delivery documentation where applicable. Repeated fulfillment failures may result in enforcement action.


7. Packaging and Branding

Vendors are responsible for securely packaging products according to ELEXBIG Packaging Guidelines.

Required or approved branding materials may include:

  • Stickers
  • Dispatch slips
  • Invoices
  • Thank-you cards

8. Delivery and Logistics

For orders using the “Delivery Fee Payable on Arrival” method:

  • Customers pay delivery charges directly to the logistics provider upon delivery.
  • Vendors are responsible for arranging shipment and dispatch.

Vendors must communicate any delivery delays, failed deliveries, or logistical issues immediately.


9. Handling Fee Policy

Certain shipping methods may include an ELEXBIG handling fee, covering:

  • Order processing
  • Marketplace operations
  • Customer support
  • Platform administration

Handling fees will be deducted from Vendor settlements.


10. Escrow and Payment Protection

ELEXBIG operates an escrow-based payment protection system:

  • Customer payments may be held by ELEXBIG after order placement.
  • Vendors may be required to provide shipment proof, dispatch confirmation, or tracking information.
  • Payouts may be delayed for review, dispute, suspected fraud, or failed delivery attempts.

24-Hour Delivery Inspection Window

Customers have 24 hours after confirmed delivery to report:

  • Damaged products
  • Wrong products
  • Missing items
  • Defective products
  • Materially different items

If no dispute is raised within 24 hours, payment will be released to the Vendor. If a dispute is submitted within the window, payment may remain on hold until resolution.


11. Commission and Marketplace Fees

Vendors agree to pay applicable:

  • Marketplace commissions
  • Handling fees
  • Promotional or advertising fees
  • Operational charges

Fees may be deducted from settlements before payout. ELEXBIG reserves the right to modify commissions and fees at any time.


12. Customer Communication

Vendors must communicate professionally and respectfully.

Vendors must not:

  • Harass customers
  • Use abusive language
  • Mislead customers
  • Request off-platform payments
  • Share misleading information

13. Marketplace Diversion Prohibition

Vendors may not redirect customers off-platform. Prohibited conduct includes:

  • Requesting direct payments outside ELEXBIG
  • Sharing personal contact information for off-platform transactions
  • Encouraging bypass of Marketplace processes

Violations may result in account suspension or permanent removal.


14. Returns, Refunds, and Disputes

Vendors are responsible for issues involving:

  • Wrong items
  • Missing items
  • Defective products
  • Product misrepresentation
  • Incomplete orders

ELEXBIG may investigate complaints and make final determinations regarding disputes.


15. Vendor Performance Monitoring

ELEXBIG may monitor:

  • Fulfillment performance
  • Customer satisfaction
  • Cancellation rates
  • Return rates
  • Product quality
  • Policy compliance

Poor performance may result in:

  • Warnings
  • Listing restrictions
  • Monetary penalties
  • Suspension
  • Account termination

16. Prohibited Activities

Vendors must not engage in:

  • Fraud
  • Counterfeiting
  • Review manipulation
  • Order manipulation
  • Identity misrepresentation
  • Intellectual property infringement
  • Data misuse
  • Marketplace abuse
  • Illegal activities

17. Intellectual Property

Vendors represent that they have all rights necessary to sell and market listed products.

ELEXBIG may remove content or listings that allegedly infringe intellectual property rights.


18. Privacy and Data Protection

Vendors must:

  • Protect customer information
  • Use customer data only for legitimate order fulfillment
  • Comply with ELEXBIG Privacy Policy and applicable data protection laws

Unauthorized use of customer information is strictly prohibited.


19. Payouts

Vendor payouts may be subject to:

  • Escrow review
  • Commission deductions
  • Handling fees
  • Refund adjustments
  • Chargebacks
  • Penalties
  • Compliance reviews

ELEXBIG may withhold, delay, reverse, or adjust payouts as necessary.


20. Suspension and Termination

ELEXBIG may suspend, restrict, or terminate Vendor accounts where:

  • Policies are violated
  • Fraud is suspected
  • Counterfeit products are identified
  • Marketplace integrity is threatened
  • Legal or regulatory concerns arise

Termination may occur without prior notice where permitted by law.


21. Limitation of Liability

To the maximum extent permitted by law, ELEXBIG shall not be liable for indirect, incidental, special, punitive, or consequential damages arising from Marketplace use.

ELEXBIG does not guarantee sales volume, profits, customer demand, or uninterrupted platform availability.


22. Policy Updates

ELEXBIG may modify these Terms at any time. Updated Terms become effective upon publication. Continued use constitutes acceptance of revisions.


23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

25. Agreement

By registering, listing products, accepting orders, receiving payments, or otherwise using the ELEXBIG Marketplace as a Vendor, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all related ELEXBIG policies.
